This agreement is made BETWEEN: The TSG Buying Group Inc. & SIA Member WHEREAS, TSG Buying Group Inc. dba The Buying Group, a Florida corporation, desires to have its program participants (hereinafter referred to as "members") purchase from The Buying Group suppliers, products and services at The Buying Group negotiated pricing, the undersigned member agrees that it shall be a member of the The Buying Group. References herein to the "website" (or portions thereof) are references to The Buying Group's website (or the applicable portion) located at www.thebuyinggroup.com . The website is amended and updated periodically by The Buying Group. NOW THEREFORE in consideration of the covenants herein, The Buying Group and member hereby agree as follows: GENERAL: Member acknowledges the value of saving money on products & services which they already purchase and therefore commits to compare existing suppliers to Buying Group suppliers. Member pledges to act in good faith and act on money saving Buying Group Supplier Programs. Member pledges not to use The Buying Group or it's suppliers to extract matching concessions from existing suppliers. This agreement authorizes The Buying Group and their suppliers to communicate with members via mail,email,fax or telephone. This communication will be limited to specific Buying Group information and at no time will TBG sell member contact data to other organizations. Member has the option to terminate this agreement at any time. Membership fee is non refundable. The Buying Group has the right to terminate membership at any time should this agreement be violated. REPRESENTATIONS: Member shall hold harmless and indemnify The Buying Group against any and all claims, costs, expenses, damages and liabilities, including attorneys' fees, arising out of or in connection with the acquisition of products or services by member and its customers. This agreement is not intended to and does not create a partnership, joint venture, agency or employee relationship between The Buying Group and member. In no event shall either party be liable for the debts or obligations of the other. This agreement shall be construed in accordance with and governed by the laws of the State of Florida. Member acknowledges and agrees that the Supplier Programs may be modified or terminated at The Buying Group's sole discretion, without prior notice. Product pricing and payment terms will be based on The Buying Group supplier's representations. MEMBERSHIP FEES: In consideration for its participation in the programs established by The Buying Group and the services described above,all TBG membership fees will be waived as long as the member is an active member of SIA.. Assignment: Both parties may assign this agreement to successors.
